Terms and Conditions and Waiver
Please note, this document contains important information about Crosstown Arts - Shared Art, and the rules and expectations of our members, resident artists and visitors.
Crosstown Arts - Shared Art is a workspace that provides everyone — from professionals to hobbyists — with common access to art-making facilities and equipment used in digital arts, woodworking, printmaking, and photography.
You understand that by: becoming a member of Shared Art; using the Space (‘Space’ being the space and Shared Art facilities, studios, equipment or machinery); or participating in Classes (‘Classes’ being any classes, events, programs or workshops in the space or otherwise held by Shared Art), you agree to these terms and conditions.
GENERAL REQUIREMENTS
MEMBERSHIP Crosstown Arts Shared Art is composed of various workspaces and equipment that are available through two basic membership plans. Members must be 18 years or older to join.
HOURS M-F 10am-6pm and until 8pm on Wednesdays
COVID-19 SAFETY Shared Art is operating under new safety restrictions due to covid-19. Limited capacity for spaces (8 people per general work area). Members must reserve a time to work before entering the space.
FEES AND CHARGES Please see the website or ask a staff member about the memberships and pricing. Monthly memberships are automatically renewed every month from the date you sign up. Payments are withdrawn automatically from either a credit card or direct debit from your account. You can cancel a membership at any time before your next payment is due.
REFUNDS There are no refunds for memberships plans. We do not refund the time you do not use in Shared Art. If you know you will be unable to use the space for a month then ask us to put it on hold. This is not something we can do for past months you did not use. You have to give us at least one-week advanced notice before the next billing cycle starts. We do not offer refunds on equipment use such as laser and CNC. There are no refunds on supplies from the woodshop, printing or vinyl.
You acknowledge that we retain the right to revoke membership and admission to Shared Art at any time at our absolute discretion and with no refund. Everyone is expected to treat each other with respect, kindness and with professionalism. Sexism, racism, homophobia, willful damage to others property, theft, violence or personal insults will result in immediate lifetime bans.
EMAILS Members will occasionally receive emails from Shared Art regarding their account, or important updates about the space.
RESERVATIONS Due to Covid-19 restrictions we are limiting capacity in the general work areas. There is a max capacity of 8 people (including staff) allowed to work in either the woodshop or the digital/printing space. Reservations of one of the two general work spaces will be required for members to come in each day. Reservations can be made in 1-hour blocks for a max of 6 hours, up to a week in advance.
CNC/LASER Reservations for CNC and laser will need to be made in advance with a staff member.
STAFF Shared Art staff keep the equipment and tools functioning and help members and residents experience a smooth workflow. Staff are not tasked with individual project support for members who are seeking technical training or help with their creative projects.
ORIENTATION Safety orientation is required before using the woodshop. Contact will@crosstownarts.org

FOOD/DRINKS No food in the space. Drinks are only allowed in a spill proof container (no to-go cups).
WIFI is accessible through the network Crosstown Arts Guest. Password provided upon request.
Waiver and Release of Liability
Any use of the Space or participation in Classes, including any use of machinery and equipment, is at your own risk. You must read all signs and follow all directions given by us or people authorized by us. You acknowledge the risk warning set out below.
If any portion of this Waiver and Release of Liability shall be deemed by a court of competent jurisdiction to be invalid, then the remainder of this Waiver and Release of Liability shall remain in full force and effect and any such offending provision(s) shall be deemed stricken here from.
I, the undersigned, for myself, or, as applicable, in my capacity as the parent or legal guardian or custodian of any child/minor, whose name is set forth below (the undersigned and/or any such minor, as applicable, the “Participant”), do hereby confirm that I am over the age of 18 and am choosing, at my own will, and in no way under the coercion of another individual or entity, to sign this Waiver and Release of Liability with the advice of legal counsel or having been advised that I may seek, in my sole discretion, legal counsel regarding the interpretation and effect of this Waiver and Release of Liability.
I understand and agree that not all activities of Participant or other Participants can be supervised at all times by Crosstown Arts staff and any Crosstown Arts in Crosstown Arts’ Shared Art Making space at location(s) determined by Crosstown Arts personnel, which may include without limitation the 100 and 200 level suites at Crosstown Arts, communal spaces, and Operation Hope/Suntrust Education Rooms and/or any related Crosstown Arts or Crosstown Concourse space at 1350 Concourse Ave, Memphis, Tn 38104, as well as any Crosstown Arts leased/programmed space in the 400 block of N. Cleveland Ave and any transportation to and from any such location(s), to the extent provided by any Crosstown Parties, which also includes any and all activities relating thereto, spaces, facilities, tools and equipment, whether alone or with others, whether supervised or not, and whether performed according to Shared Art Making policies, procedures, and safety rules, or not (collectively, the “Activities”).
I acknowledge and agree that the Activities may be inherently risky, including, without limitation, the use of equipment, tools, supplies, and/or other materials and could result in serious bodily injury or death, and that Participant is choosing, or, as applicable, I am choosing on behalf of Participant to allow Participant, to participate in such activities at Participant’s own risk, and that I, for and on behalf of Participant, as applicable, and Participant’s heirs, assigns, personal representatives and next of kin, hereby assume full responsibility for the same and release, waive and discharge Crosstown Arts, Crosstown Concourse, Crosstown Building Owner, LLC, Crosstown Master Tenant, LLC, and any and all of their agents, employees, representatives, affiliates, owners, family, successors, assigns, lenders, licensors, licensees, lessors, lessees and invitees (collectively, “Crosstown Parties”) from any and all liability, claims, demands, or causes of action, and hereby covenant not to sue or make any claims against any such crosstown parties, as a result of any and all injuries to persons or property or other damages or losses of any nature whatsoever arising out of or related to participant’s participation in the activities, whether caused by Participant’s own negligence or the negligence of others, or any present operating condition of any/all new and used tools and equipment, and present condition of any of the location(s) at which any of the activities are or shall be conducted or of any route(s) of travel to and from the same.
Any reference to Participant or Participant therein shall be deemed to include my capacity as a past, present or future volunteer or Crosstown Arts’ staff member, as applicable, for the Activities described therein, and as such I hereby authorize any of the Crosstown Parties to perform such background, criminal record or public records search(es) or other inquiries, if at all, regarding such Participant’s involvement in the Activities as any of the Crosstown Parties may determine in their own sole discretion but without any obligation on the part of any such Crosstown Parties to perform any of the foregoing. I have disclosed in writing to Crosstown Arts any and all information that a reasonable person would deem relevant regarding my qualification or disqualification for performing any volunteer or staff responsibilities in connection with the Activities. The indemnity set forth in the Waiver and Release of Liability shall be deemed to extend to any omission by the undersigned from such disclosure.
I do hereby agree to indemnify, defend and hold harmless all Crosstown Parties from any and all claims, liability, losses, judgements, demands, actions and costs, including, without limitation, attorney’s fees, arising out of or related to Participant’s participation in the Activities, regardless of the cause.
I agree to the following: I am not presently, nor, on the date(s) of the Activities, will Participant be, under the influence of drugs, alcohol or any controlled substance that could alter or impair my or Participant’s judgment in any way. This includes drugs, alcohol or controlled substances that I or Participant consumed or ingested at any physical location whether Crosstown Concourse, any Crosstown Arts-related spaces or elsewhere, at any time prior to the actual time(s) and date(s) of the Activities the prolonged or delayed effects of which could alter or impair my or Participant’s judgment in any way.
The undersigned Participant and/or Responsible Party understands and agrees that the Shared Art Making Activities involve various hazards, dangers, and risks, including without limitation, and by the way of example, the risk of trips, slips, fumes, falls; cuts, broken bones, burns, and other wounds to hands, head, feet, eyes, and other body parts; electrical shock; exposure to lasers, dust, fumes, smoke, mineral spirits, xylene, lubricating oil, fiberglass resin, noise and vibrations; and accidents due to negligence of other Participants or Shared Art Making staff or vendors, or due to defective inadequate facilities, equipment, tools, machinery, or due to inadequate maintenance repair, training, instructions, supervision, first aid, and medical treatment, or safety gear. The risks also include other risks arriving from Participant’s involvement in Shared Art Making Activities, including unpredictable risks and risks inherent in the use of the work areas, facilities, tools, and equipment used in Shared Art Making Activities. Each Participant and/or Responsible Party agrees that such Participant’s participation in Shared Art Making Activities involves risks of accidents and serious personal injury and illness, paralysis, permanent disability, and even possibly death, of the Participant. By signing this, I understand that Shared Art-Making can be a dangerous place, whether I am participating in free or fee based access and use.
I furthermore authorize any applicable Crosstown Parties to provide, seek or secure any necessary medical attention as reasonably determined by any such Crosstown Parties in the event of any injury, illness or other mishap and agree that if I came with a group, I will stay with my group under any/all circumstances
I understand that some, but not all, tools and equipment in the Shared Art Making space may include limited safety training (i.e. any or all tools in the woodshop area, whether stationary or hand tools) and this safety training offers only a minimal amount of training and safety precautionary measures, and that said safety training is in no way meant to fully equip Participant with all the skills and knowledge necessary to prevent injury or bodily harm.
I understand that certain equipment in Crosstown Arts Shared Art Making spaces are to be operated by trained Crosstown Arts staff only, including, but not limited to, CNC machine(s) and laser cutter(s) and that the surfaces of floors, counters, tables may contain debris, dust, liquids and sharp objects and that it is my responsibility to ensure a safe and clean work space for myself at all times for all Activities.
Participant understands that periodically Crosstown Arts staff will make known, with verbal public notice and announcement to all Participants present, that photographic, video and/or audio documentation of Activities in Shared Art Making by Crosstown Arts staff is about to take place and it is the Participant’s responsibility to verbally decline inclusion in documentation (which will be honored and respected by Crosstown Arts staff) if Participant wishes for themselves or their creative work to not be included in documentation. If Participant chooses to not decline inclusion in documentation Participant, hereby, grants to the Crosstown Parties the irrevocable and perpetual right (unlimited as to the number of uses, times and territory) to use, modify, and display Participant’s name, likeness, and/or biographical details in connection with the Activities, and any photographic or video documentation of Participant’s creative work, photographs, films, images, paintings, sculptures, books, other print or electronic media, artwork and/or other work product of the Activities on Crosstown Arts’ website, including audio and video clips, on social media, and in other digital and print external and internal communications (the “Promotional Materials”) for publicity, fundraising, community engagement, archival, and related purposes, all without compensation in any form, with the understanding that images and/or visual and audio documentation of Participant’s work shall be used exclusively for the Promotional Materials and shall not be reissued or sold.
All pets (other than legally-certified service animals with provided legal documentation, as recognized by state and federal authorities such as TSA, TVA, TBD, ETC) are not permitted in the Shared Art-Making facilities under any circumstances.
